Important - Read Before Using Fast
This Risk Disclosure Notice ("Notice") describes material risks associated with using the Fast App (app.fast.xyz), the Fast marketplace (shop.fast.xyz), the Fast SDK, and the FastSet payment and settlement network (collectively, the "Services"), operated by Pi Squared Inc. ("Company," "we," "us").
This Notice is incorporated into and forms part of the Fast Terms of Service. By using the Services, you acknowledge that you have read, understood, and accepted these risks.
This Notice does not disclose every possible risk. You should use the Services only if you understand how they work and are comfortable with the risks described here.
1. fastUSD Is Not a Bank Deposit or Company-Maintained Account Balance
fastUSD is the token used on Fast for supported transactions. fastUSD is not:

Insured by the FDIC, NCUA, or any government deposit insurance program

A deposit at a bank or financial institution

Protected by the Securities Investor Protection Corporation (SIPC)

Legal tender or a government-issued currency
-
A Company-maintained account balance, internal Company credit, stored-value account, e-money, security, or investment product
-
A guarantee of value or guaranteed claim against the Company
fastUSD depends on third-party providers, supported assets and chains, AllSet smart contracts, the Fast network, supported EVM networks, liquidity, and other third-party infrastructure. USDC or other supported assets may lose value, be frozen, become unsupported, or become unavailable. fastUSD may not maintain any particular market value, liquidity, transferability, conversion availability, or offboarding availability. If any related system fails, is exploited, becomes unavailable, or is restricted by law or policy, you may lose access to, value in, or expected utility of fastUSD.
2. Third-Party Provider, AllSet Bridge, and Offboarding Risk
Users may obtain fastUSD by acquiring or transferring a supported asset on a supported chain and then calling AllSet smart contracts to bridge that asset to a user-controlled Fast address where supported. Supported third-party providers such as Coinbase, Stripe, Swapper Finance, or others may help users acquire supported assets, but AllSet is not a payment, onboarding, KYC, or swap provider. AllSet is a set of smart contracts that links Fast with supported chains. Onboarding may involve USDC on supported EVM networks or other supported assets or networks identified by the Services. Specific providers, supported assets, supported chains, smart-contract steps, fees, limits, and availability may vary and may change over time.
Where supported, users may call AllSet smart contracts to bridge fastUSD to an address they choose on a supported chain as a supported asset, including USDC on supported EVM networks where available. Offboarding availability, timing, fees, liquidity, and success depend on AllSet smart contracts, supported assets and chains, compliance controls, third-party infrastructure, and the accuracy of the address, network, asset, and transaction details selected by the user.
The Company does not guarantee uninterrupted AllSet availability, any specific onboarding, bridge, or offboarding timing, any third-party provider's performance, any particular conversion result, or that any signed on-chain or AllSet bridge transaction can be reversed. Provider payment reversals remain subject to applicable law and the relevant provider's terms. Do not acquire or hold fastUSD unless you are comfortable with token, bridge, smart-contract, supported-asset, provider, and network risks.
3. Signed On-Chain and Transfer Transactions May Be Final
When you use a third-party provider, AllSet smart contracts, or any supported asset or network to acquire, bridge, transfer, or offboard fastUSD:

The provider, not the Company, handles fiat, card, bank, crypto, KYC or identity checks it requires, payment processing, fees, declines, holds, chargebacks, reversals, refunds, and settlement

The provider's own terms, privacy policy, risk controls, fees, limits, and processing times apply

On-chain transfers to AllSet, a wallet, a merchant, or any other address are generally irreversible once signed and submitted

You must not fraudulently or abusively dispute payments you authorized; any dispute rights remain subject to applicable law and the relevant provider's terms

If a provider, bank, merchant, or fulfillment partner reports fraud, reversal abuse, nonpayment, or other risk, the Company may restrict Services, disable funding or checkout methods, suspend or terminate accounts, withhold Company-controlled refunds or app-mediated credits where legally permitted, and seek recovery of amounts owed
Card, bank, onboarding, swap, offboarding, and network transactions may be subject to holds, verification procedures, delays, failures, fees, and limits outside the Company's control.
4. Transaction and Provider Limits
Third-party providers, AllSet smart contracts, the Fast network, merchants, fulfillment partners, or the Company may impose transaction, wallet, geographic, compliance, risk, liquidity, or velocity limits. Limits may vary by payment method, provider, wallet status, jurisdiction, product, merchant, network condition, supported asset, and applicable law. Limits may change at any time.
5. Technology Risk
The Services rely on software, cryptography, smart contracts, supported asset-transfer, protocol, or smart-contract infrastructure, and blockchain infrastructure that may contain vulnerabilities. Specific risks include:

Smart contract bugs or exploits that could result in loss of funds

AllSet smart-contract failures, bridge failures or delays, assets held by AllSet during bridge transactions, supported-asset accounting issues, contract-state errors, implementation errors, pause events, or upgrade/admin-key risks

USDC issuer, supported EVM network, or external network failures, freezes, policy changes, or outages

Passkey loss or device failure - if you lose access to all registered passkeys, the Company cannot recover your account

Network outages, latency, degraded performance, or limited operator/validator availability that could delay or prevent transactions

Third-party infrastructure failures, including onboarding providers, swap providers, fulfillment partners, hosting providers, and Cloudflare

Software updates that change functionality

Zero-day exploits or attacks not yet discovered at the time of launch
The Fast network currently uses an initial limited operator/validator set that may expand over time. Governance, participation, and availability may be more limited than for mature decentralized networks, and a smaller initial operator set may increase operational, availability, governance, or perception risk.
The Company applies security best practices but cannot guarantee the absence of vulnerabilities.
6. Irreversibility of Transactions
Transactions on blockchain networks are generally irreversible. Once a transaction is signed or broadcast:

It may not be reversible, cancelable, or modifiable by the Company

Sending funds to a wrong address, wrong network, unsupported contract, or scammer may result in permanent loss

The Company may have no ability to recover on-chain funds sent in error
For app-mediated fastUSD transactions, reversals or refunds may be possible only in limited circumstances where technically available, legally permitted, and within the Company's or service provider's control. They are not guaranteed.
7. Regulatory Risk
The regulatory environment for digital assets, tokens, stablecoins, smart-contract arrangements, decentralized networks, and payment systems is evolving. Regulatory changes could:

Require the Company to restrict or terminate Services in certain jurisdictions

Require additional compliance procedures that affect how you can use the Services

Require transaction monitoring, address blocking, service restrictions, reporting, freezes, forfeitures, or other actions where legally required and technically available

Affect the legal status, availability, or utility of USDC, fastUSD, AllSet, the Fast network, supported EVM networks, or supported third-party providers
The Company complies with applicable law and reserves the right to modify, restrict, suspend, or discontinue the Services to maintain compliance.
8. AI Agent Risk
If you create Agent Wallets and delegate funds or permissions to AI agents:

The Company does not control, monitor, or guarantee agent behavior

Agents may make transactions you did not intend, including incorrect amounts or wrong recipients

You are solely responsible for all actions taken by your agents

The Company is not liable for losses resulting from agent actions, including misuse of delegated permissions

Agent capabilities depend on third-party AI systems that may have their own limitations, bugs, or failure modes
Only delegate funds and permissions to agents you trust and within amounts you are prepared to lose.
9. Third-Party Risk
The Services integrate with third-party providers, protocols, merchants, and infrastructure whose failures, changes, or decisions could affect your experience:

Coinbase, Stripe, Swapper Finance, and other onboarding or swap providers: Payment processing delays, holds, account flags, identity checks, fees, pricing, failed purchases, or service termination could prevent you from acquiring fastUSD

AllSet: Smart-contract bridge availability, supported-asset availability, contract behavior, assets held by AllSet during bridge transactions, pause controls, upgrades, admin-key controls, or bridge processing could affect onboarding or offboarding

USDC issuer and supported EVM networks: Issuer policies, freezes, network outages, congestion, fees, finality failures, or protocol changes could affect the value, transferability, or offboarding of fastUSD

Merchants (shop.fast.xyz): The Company does not control merchant inventory, pricing, shipping, delivery, returns, refunds, or product quality. Disputes are subject to individual merchant policies

Zinc (fulfillment partner): For adapter-fulfilled or platform-card orders, Zinc or another fulfillment intermediary may place purchases with upstream merchants on your behalf. Their availability, policies, and decisions are outside the Company's control. If an order cannot be fulfilled, the Company or service provider will make reasonable efforts to refund or reverse the associated app-mediated fastUSD payment where technically available, legally permitted, and within the Company's or service provider's control. For direct merchant fastUSD checkout, the merchant handles returns, refunds, and disputes. For self-checkout or handoff, the merchant or the merchant's payment provider handles returns, refunds, disputes, and chargebacks under their terms.

Infrastructure providers: Outages at hosting, CDN, compliance, analytics, or wallet infrastructure providers could cause Service unavailability
10. No Investment Advice
Nothing in the Services or these documents constitutes financial, legal, tax, or investment advice. The Company does not recommend that you acquire, hold, transfer, offboard, or spend any particular amount of USDC, fastUSD, or any other supported asset, or that fastUSD is suitable for any particular purpose.
